Terms and Conditions

  1. Definitions and Interpretation

    ·       Client: The individual or organisation contracting the Company for secret shopper services.

    ·       Company: OHBConsultancy, providing hotel secret shopper and hospitality auditing services.

    ·       Services: Mystery shopping, guest experience auditing, facility inspections, reporting, and related professional services provided by the Company.

    ·        Report: Written feedback, scores, or evaluations delivered to the Client.

    ·        Confidential Information: All business, operational, and customer-related data shared or obtained during service delivery.

    2. Scope of Services

    ·       The Company agrees to provide professional mystery shopper services as detailed in the written proposal, engagement plan, or service agreement.

    ·       Services include the assessment of guest experience, cleanliness, staff engagement, booking processes, and other instructions specified by the Client.

    ·       The Company retains discretion over the selection of mystery shoppers and deployment methods to ensure objective and accurate evaluations.

    3. Client Obligations

    ·       The Client must provide accurate and complete information necessary for the delivery of services, including access to hotel properties or accommodation as applicable, booking details, and relevant documents.

    ·       The Client shall comply with all applicable laws regarding engagement of mystery shoppers, including privacy regulations and consent requirements for internal testing.

    4. Fees and Payment

    ·       Fees for services are as per the agreed quotation or proposal and are exclusive of VAT unless stated.

    ·       Payment terms: 50% deposit upon acceptance of the proposal with balance upon delivery of the final Report, unless otherwise specified.

    ·        All expenses for travel and services that have been incurred in line with the agreed written proposal are to be paid by the Client. These will be invoiced directly after the accommodation visit has occurred.

    ·       Late payment may incur interest at a rate of 4% above the Bank of England base rate per annum.

    5. Changes and Cancellations

    ·       Any modification of the agreed services must be requested in writing and acknowledged by the Company.

    ·       Cancellation by the Client less than 14 days before the scheduled service may incur a cancellation fee up to 50% of the total service cost.

    6. Confidentiality and Privacy

    ·       Both parties agree to maintain confidentiality of all information shared in connection with the Services.

    ·       Any Reports or findings remain the intellectual property of the Company unless otherwise assigned; the Client may use them solely for internal purposes.

    7. Limitation of Liability

    ·       The Company’s liability for any claim arising from the provision of Services is limited to the total fees paid by the Client for those specific Services.

    ·       The Company is not liable for indirect, incidental, or consequential losses, including but not limited to reputational harm, lost revenue, or operational disruptions.

    ·       Nothing in these Terms excludes liability for death or personal injury caused by the Company’s negligence, fraud, or any other liability that cannot be lawfully excluded.

    8. Force Majeure

    ·       The Company shall not be liable for failure to perform Services due to events outside its reasonable control, such as natural disasters, pandemics, government restrictions, or acts of terrorism.

    9. Report Delivery and Final Acceptance

    ·       The Company will provide the Client with a final Report detailing findings and recommendations from the secret shopper evaluation.

    ·       The Client shall review the Report within 14 days of delivery and notify the Company of any factual discrepancies. After this period, the Report shall be deemed to be accepted.

    10. Intellectual Property

    ·       All methodologies, scoring systems, templates, and content used or developed by the Company during the provision of Services remain the Company’s sole property.

    ·        The Client is granted a non-exclusive license to use the Report and associated materials for internal operational purposes only.

    11. Governing Law and Jurisdiction

    ·       These Terms shall be governed by and construed in accordance with the laws of England and Wales.

    ·       Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the English courts.

    12. Miscellaneous

    ·       Entire Agreement: These Terms, together with the Service Proposal, form the entire agreement between the parties and supersede all prior communications.

    ·       Severability: If any provision of these Terms is found invalid, illegal, or unenforceable, it shall not affect the validity of remaining provisions.

    ·        No Waiver: Failure to enforce any provision shall not constitute a waiver of future rights.
